of Service.

The rules of the road for using Engram — what you can do with the free core, what you get when you upgrade, and the boring legal bits we have to spell out.

1 · Parties

These terms are an agreement between you (the user) and Raviole Labs SAS, a French company headquartered in Paris, operating under VAT number FR00000000000 (placeholder until registration). We're the people who build and operate Engram.

2 · The Core (Free, MIT)

The Engram Core — the local MCP server, the 21 tools, the ingestion pipelines — is open source under the MIT License. You can:

  • Use it for personal projects, commercial projects, anything in between.
  • Modify the source and run your own fork.
  • Self-host the local server on any machine you own or have permission to use.

The MIT license applies as-is and is the binding text for the Core. Nothing in these Terms restricts your rights under that license for the Core.

3 · The Pro tier (SaaS)

The Engram Pro tier is a paid SaaS service operated by Raviole Labs. It adds: mobile capture (iOS / Android), encrypted multi-PC sync, an always-on cloud dashboard, and hosted compute (embeddings + Whisper).

Pro is licensed (not sold). You get a non-exclusive, non-transferable right to use the service for the duration of your active subscription.

4 · Acceptable use

You agree not to use the cloud-side service to:

  • Store, transit, or share illegal content as defined by EU law or the law of your country of residence.
  • Abuse the infrastructure — automated scraping, denial-of-service patterns, or reverse-engineering the sync protocol for purposes other than building a compatible client.
  • Attempt to bypass usage quotas by creating multiple accounts.

Because content is encrypted end-to-end, we can't proactively moderate. We act on reports and on patterns visible in metadata (size spikes, abuse signals).

5 · Billing & refunds

  • Pro subscriptions are billed monthly in advance, $9 / month.
  • Overages on hosted compute are billed at the end of each month at the rates shown on the pricing page.
  • Billing is operated by Polar.sh as Merchant of Record. Polar handles VAT for EU customers, sales tax for US customers, and issues invoices.
  • You can cancel anytime from your dashboard. Cancellation takes effect at the end of the current billing period.
  • No refunds for partial months. If you cancel mid-cycle, you keep Pro features until the cycle ends.

6 · Availability & support

We target 99.5% monthly uptime for the Pro sync service. We don't offer a contractual SLA on the Free tier (the Core runs on your machine; uptime is yours).

Support is via Discord and email. We aim to respond within 2 working days on Pro, best-effort on Free.

7 · Intellectual property

You retain full ownership of your memories — both the content and the derived embeddings. We claim no license over your data beyond what's strictly needed to operate sync (i.e., temporarily store the encrypted blob and route it).

The Engram trademark and logo remain ours; you can mention “built with Engram” or similar without permission.

8 · Limitation of liability

The service is provided as-is, without warranties of any kind. To the maximum extent permitted by law:

  • Raviole Labs is not liable for data loss, downtime, indirect damages, or consequential damages.
  • Our total liability in any 12-month period is capped at the amount you paid us in that period.

This does not exclude liability that cannot legally be excluded (gross negligence, willful misconduct, personal injury).

9 · Termination

You can terminate by canceling your Pro subscription and uninstalling the Core. We can terminate or suspend access if you breach these Terms (including acceptable use), with notice when feasible.

On termination, your encrypted transit blobs are purged within 30 days. Your local memory store is unaffected — it lives on your disk.

10 · Governing law

These Terms are governed by French law. Disputes will be brought before the competent courts of Paris, France, unless mandatory consumer protection law in your country requires otherwise.

We'll announce material changes on the changelog and the Discord with at least 14 days' notice for active Pro subscribers. Continuing to use the service after the notice period constitutes acceptance.
